ADDENDUM

Auction Sale: 15 February 2024

The purchaser of each lot is deemed to purchase with notice and full knowledge of the important notice to bidders, the Common Auction Conditions, where applicable, the special conditions of sale and this addendum.

The purchaser of each lot is deemed to have inspected the property and have verified the accuracy of all information given in the particulars including the extent of the premises to be sold and the floor areas. Additionally, the purchaser is deemed to have read the legal documentation.

The boundary plans in the auction catalogue are for identification only. The correct title plan showing the boundaries of the properties are available for inspection and the purchaser will be deemed to have purchased with full knowledge thereof.

Please note that vendors may require a supplementary amount to be paid by the purchaser to the vendor over and above the purchase price. Please check the special conditions of sale to ascertain whether this applies to the property for which you are bidding.

The Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 came into force on the 26th June 2017.

Under the Regulations, Acuitus is legally required to immediately undertake customer due diligence checks on the buyer and related parties.

Acuitus will need to receive identification documents that satisfy the Regulations for the bidder, the buyer (if different from the bidder), the beneficial owners with more than 25% of the voting rights or capital and proof of authority if the bidder is acting as an agent.

Acuitus will also need to receive satisfactory identification on the source of the deposit money provided by the bidder/buyer.

If you are the successful bidder, Acuitus requires a separate payment of £1,500+VAT as a buyer's administration charge payable to Acuitus Limited upon exchange of contracts. A VAT receipt will be provided upon payment.

The Common Auction Conditions have been updated as at June 2024.

Lot 12

Trident Shopping Centre, High Street, Dudley, West Midlands, DY1 1QJ

The mark up on the plan and the aerial photograph within the Auctions Sales particulars does not correctly identify the property being offered for sale. The correct mark up of the Freehold interest of the property being offered for sale is detailed within the title plans in Freehold Title numbers WM425806 and SF74493, which are available to inspect within the legal pack and the Buyer is deemed to have purchased the property with full knowledge thereof.

The Freehold tenure being offered for sale is subject to the occupational tenancies detailed in the Accommodation and Tenancy schedule in the Auction sales particulars and a 999 year lease of the office building know as Trident House to be granted on completion of the sale and subject to a fixed peppercorn rent. The draft 999 year lease is available within the Legal pack.

The property is a Majority Let Freehold Shopping Centre Investment, with 2 of the 35 Units being offered with Vacant Possession and not a Fully Let as stated in the Auction sale particulars.

As to the Tenancy and Accommodation schedule in the Auction sale particulars please note the following;

• As to Unit 5 – 6, the tenant is not yet trading from the property as they are undertaking repair / refurbishment work.

• As to Unit 7, the tenant is not currently in occupation of the property.

• As to Unit 14-16, is being offered with Vacant Possession. Therefore, the property produces a total income of £454,800 per annum of which approximately £80,000pa is income received from Car Parking.

For the avoidance of doubt the tenancy and accommodation schedule in the particulars does not form part of the contract. The tenancy schedule in the particulars has been provided by the vendor and has not been independently verified by the vendor’s solicitor with the deeds. The buyer must rely upon their own investigations of the documents in the legal pack. The accommodation schedule and floor areas in the particulars have been provided by the vendor. For the avoidance of doubt, the auctioneer does not warrant the accuracy of these areas. The buyer is to rely upon their own inspection.
