ADDENDUM

Auction Sale: 15 February 2024

All Lots

The purchaser of each lot is deemed to purchase with notice and full knowledge of the important notice to bidders, the Common Auction Conditions, where applicable, the special conditions of sale and this addendum.

The purchaser of each lot is deemed to have inspected the property and have verified the accuracy of all information given in the particulars including the extent of the premises to be sold and the floor areas. Additionally, the purchaser is deemed to have read the legal documentation.

The boundary plans in the auction catalogue are for identification only. The correct title plan showing the boundaries of the properties are available for inspection and the purchaser will be deemed to have purchased with full knowledge thereof.

Please note that vendors may require a supplementary amount to be paid by the purchaser to the vendor over and above the purchase price. Please check the special conditions of sale to ascertain whether this applies to the property for which you are bidding.

The Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 came into force on the 26th June 2017.

Under the Regulations, Acuitus is legally required to immediately undertake customer due diligence checks on the buyer and related parties.

Acuitus will need to receive identification documents that satisfy the Regulations for the bidder, the buyer (if different from the bidder), the beneficial owners with more than 25% of the voting rights or capital and proof of authority if the bidder is acting as an agent.

Acuitus will also need to receive satisfactory identification on the source of the deposit money provided by the bidder/buyer.

If you are the successful bidder, Acuitus requires a separate payment of £1,500+VAT as a buyer's administration charge payable to Acuitus Limited upon exchange of contracts. A VAT receipt will be provided upon payment.

The Common Auction Conditions have been updated as at June 2024.

Lot 27

The Special Conditions of Sale provide to the completion date to be 20th March 2024 or earlier by agreement between the parties and not as stated in the Auction Sales Particulars.

The Special Conditions of Sale provide for the Buyer on completion of the sale to make a contribution of £1,500 together with any applicable value added tax towards the Seller''s legal costs. This sum is a contribution to the search costs incurred by the Seller.


The following replies to CPSE 3 are to be amended read as follows:

1.7 - Yes, as to the first part of the question. The Seller has confirmed that there are not currently any capping or weighting provisions agreed with any tenant.

1.10 - The Seller has not been engaged in any such dispute during its period of ownership but cannot comment in respect of any period prior to its period of ownership. The Seller will not comment on any relationship with any other tenant of the Development and the Buyer must form its own view of the service charge scheme from its enquiries and consideration of the documentation supplied.

3.1.6 – The annual premiums applicable for the whole of the building of which the Property forms part are currently:

Material Damage/ Business Interruption/POL Premium - £24,638.79
Terrorism Premium - £6,223.35
Insurance Premium Tax - £3,703.46

The Property will be responsible for the following portion of these premiums in the current service charge year:

Material Damage/ Business Interruption/POL Premium - £542.05
Terrorism Premium - £136.91
Insurance Premium Tax - £81.48

Rent Deposit - The Seller has confirmed that there is no rent deposit deed in place for the lease to the current occupational tenant.

The draft 999 years lease has been amended as follows;

4.8.2 The Tenant will not assign the whole of the Property during the first year of the Term and thereafter the Tenant will not assign the whole of the Property without first having procured in favour of, and at no cost to, the Landlord an enforceable deed of covenant from the assignee to observe and perform the Occupational Lease Terms in so far as they are to be observed and performed by a landlord
